MultiSyncer Studio License Agreement (public offer)

1. General

1.1. This document is a public offer by Ruslan Ruslanovich Tishkin, individual entrepreneur, taxpayer ID (INN) 344111303700, registration number (OGRNIP) 324508100066380 (the "Licensor"), to conclude a license agreement on the terms below.

1.2. The Software is the computer program "MultiSyncer Studio" for macOS and Windows, including updates, documentation and the website multisyncer.com (the "Software").

1.3. The User is any person or company accepting this offer (the "User").

1.4. The offer is accepted by any of: activating a key in the Software after ticking "I accept the license agreement"; paying for a license; starting the trial period. The agreement is concluded upon acceptance.

2. License

2.1. The Licensor grants the User a simple (non-exclusive) license to use the Software within the limits below; the User pays the fee if the license is paid.

2.2. The User may:

install and run the Software on two computers named in the key (by their computer codes) and use it on one of them at a time; a computer in the key can be replaced by writing to the Licensor;
use the Software for personal and commercial projects, including clients' footage;
use files created by the Software (editing projects, reports, copies of footage) without restriction.

2.3. The User may not:

transfer, sell or rent the key or the Software to third parties unless expressly allowed by the Licensor;
circumvent the protection, trial limits or key verification;
decompile, disassemble or modify the Software except where expressly allowed by law;
remove copyright notices.

2.4. Territory: worldwide. Term by plan: "1 month" — 30 days, "6 months" — 182 days, "1 year" — 365 days, "Lifetime" — perpetual. The term is written in the key and runs from its issue. Monthly, six-month and yearly licenses do not renew automatically: nothing is charged without the User's consent; a new term is paid to continue.

2.5. The exclusive rights to the Software remain with the Licensor. The Software includes third-party open-source components (FFmpeg — LGPL 2.1, NumPy, SciPy, pyaaf2, Tauri, React and others), listed with their license texts in the "About" window; their own licenses apply to them.

3. Trial and test versions

3.1. The Licensor may offer a free trial or test version. After the trial some features may require an activated key.

3.2. Test (beta) versions are provided for evaluation, may contain errors and may stop working after a set date.

4. Fee and payment

4.1. The price of each plan and current discounts are those shown on multisyncer.com at the time of payment. VAT is not charged: the Licensor applies the simplified tax system (Article 346.11(2) of the Russian Tax Code). The education discount is given by a discount code the Licensor issues after the User confirms study or teaching at an educational institution.

4.2. Payment is processed by YooKassa (YooMoney NBCO LLC).

4.3. The key is sent to the User's e-mail within 24 hours of payment.

4.4. Refunds. If the Software does not work on the User's computer and the Licensor has not fixed the problem, the User may request a refund within 14 days of payment by writing to sales@multisyncer.com. The key stops working after the refund.

5. Updates and support

5.1. The Software checks updates.multisyncer.com for new versions and installs them with the User's consent.

5.2. Updates are free: for monthly, six-month and yearly licenses, all updates released during the term; for the Lifetime license, all updates the Licensor releases while it continues developing the Software.

5.2.1. The Licensor is not obliged to release future updates and may stop developing the Software. In that case the Software keeps working on the computers named in the key: the key is verified on the computer without contacting the Licensor's servers. The last released version stays available for download for at least 12 months after development stops.

5.3. Support is provided by e-mail at support@multisyncer.com within a reasonable time, with no guaranteed response time.

6. Liability

6.1. The Software is provided "as is". The Licensor makes reasonable efforts for it to work correctly but does not warrant that it suits the User's particular tasks or is error-free.

6.2. Synchronization, copying and verification are automatic and may contain errors. The Software shows sync confidence and marks clips not confirmed by sound. The User checks the result before editing and does not format memory cards before verified copies exist.

6.3. The Software does not modify or delete source media. Nevertheless, the Licensor is not liable for loss or damage of data, lost profits or indirect damages. The Licensor's total liability is limited to the amount the User paid for the license in the last 12 months.

6.4. Section 6.3 does not apply where the law, including consumer protection law, provides otherwise.

7. Personal data

7.1. Processing of personal data is described in the Privacy Policy: multisyncer.com/privacy.

8. Term and termination

8.1. The agreement is in force for the license term.

8.2. If the User breaches section 2, the Licensor may revoke the key, notifying the User by e-mail.

8.3. The User may stop using and delete the Software at any time.

9. Miscellaneous

9.1. The Licensor may amend this offer. A new version applies to licenses acquired after its publication; paid licenses keep the version in force on the payment date.

9.2. The law of the Russian Federation applies. Disputes are settled by negotiation, then in court at the Licensor's location unless consumer protection law provides otherwise.
